CHAIRMANSHIP


To ensure the effective functioning of WFA, the Chairmanship serves as the highest consultative body for WFA.


  1. * The Founder, Chairman, President & Chief Executive Officer, Co-Chairmen, Vice-Chairmen, Co-Vice Chairmen, Honorary Chairmen, Honorary Vice Chairmen, Regional Chairmen and Chairmen of the Committees and special divisions constitute WFA’s Chairmanship. Founder is not an elected position, however, shall have a lifetime role as specified by the World Fashion Council, being approved by the Assembly of Governors.

  2. * The Chairman as head of the Chairmanship shall report regularly to the World Fashion Council as well as the Assembly of Governors

  3. * The Chairmanship shall meet as often as necessary, and more particularly whenever an important matter has to be dealt with urgently.

  4. * The Chairmanship shall serve at the pleasure of the Assembly of Governors upon such terms and conditions as may be set by the Assembly of Governors.


Subject to the provisions of the Constitution;


  1. * The Chairman presides over the meetings of the Chairmanship.

  2. * The WFA shall have a Chairman, a Vice Chairman and Secretary, and a Vice Chairman and Treasurer. On the initiative of the President & Chief Executive Officer and the subsequent recommendation of the Chairmanship, being chosen from the members of the Assembly of Governors, nominations for the Chairman, Vice Chairmen and Regional Chairmen and seconds for such nominations shall be made only by the World Fashion Council. The entire list of nominations shall, as one proposal, be voted upon by the Assembly of Governors.

  3. * The Vice Chairmen shall assist the Chairman in the discharge of his responsibilities. The Chairman may delegate certain of his responsibilities to the Vice Chairmen. In the event of the death or resignation of the Chairman, or should he become for any other reason unable to discharge the duties of his office, the Vice Chairman and Secretary shall replace him.

  4. * Every second year by December 31st at the latest, the Assembly of Governors shall elect the Chairman and the Vice-Chairmen for renewable terms of two years commencing the following January 1st.

  5. * Following the end of his term of office, the Chairman shall be a Co-Chairman of WFA. This mandate may be reduced to one year, at the request of the incumbent.

  6. * Following the end of the term of office, the Vice Chairmen shall be the Co-Vice Chairmen of WFA. This mandate may be reduced to one year, at the request of the incumbents.

  7. * The Honorary Chairmen and Honorary Vice Chairmen shall be nominated by the Chairmanship upon the initiative of the President & Chief Executive Officer for renewable terms of two years; they shall be confirmed by the Assembly of Governors.



PRESIDENT


  1. *The President holds the chief executive office for WFA, and, in this capacity, represents WFA towards third parties. The President shall be elected by the Assembly of Governors after being nominated by the World Fashion Council on the recommendation of the Chairmanship.

  2. * At least six months before the expiration of his term on the contract, or as may be warranted in the agreement, the World Fashion Council will assess his performance, taking into account in particular the current policies and the programs, and make appropriate recommendations.

  3. * The President & Chief Executive Officer administers the affairs of WFA and implements its policy within the framework defined by the Assembly of Governors and the World Fashion Council. The President & Chief Executive Officer is, in particular, responsible for the implementation of the program of action and of the budget of WFA.

  4. * The President & Chief Executive Officer has authority, within the budget, to recruit and to manage the staff of WFA and of its specialized division.

  5. * The World Fashion Council may delegate its powers, as it deems necessary, to the President & Chief Executive Officer to perform his duties. The President & Chief Executive Officer reports thereon to the World Fashion Council.

  6. * The President & Chief Executive Officer is ex-officio member of the Assembly of Governors, of the World Fashion Council, of the Chairmanship, of the Committees and of the specialized divisions. The President & Chief Executive Officer shall preside over the meetings of the World Fashion Council and the meetings of the Assembly of Governors as well as World Fashion Congress and World Fashion Conference.

  7. * The President & Chief Executive Officer represents WFA vis-à-vis other international organizations, both governmental and non-governmental. The President & Chief Executive Officer appoints WFA representatives to conferences and other events to which WFA is invited.

  8. * The President & Chief Executive Officer maintains close contact with WFA National Chapters, in particular by calling the meetings, monitors their activities and reports thereon to the World Fashion Council. The World Headquarters under President & Chief Executive Officer keeps a record of the admissions and deletions of WFA members.

  9. * The President & Chief Executive Officer submits to the World Fashion Council the documents necessary to enable it to carry out its task.

  10. * If by reason of death, long-term disability, or resignation, the President & Chief Executive Officer can no longer fulfill his function, the Chairman takes all necessary interim measures in consultation with the bodies concerned, in view also of finding an urgent solution.
